Learners will address the challenge of creating effective, legally sound contracts that meet the specific needs of a business while ensuring compliance with relevant laws and regulations. The project simulates real-world business scenarios where the ability to draft and negotiate contracts can significantly impact a company's operations and legal security.

Expected Outcomes:

Drafting Skills:

• Students will draft various types of contracts, including Client Service Agreements, Subcontractor Agreements, NDAs, Terms and Conditions, MSAs, Change Order Forms, Indemnity Agreements, and Data Protection Agreements. They will understand the importance of each clause and how to tailor a contract to specific circumstances.

Legal and Practical Understanding:

• Legal Comprehension: Gain a fundamental understanding of contract law, including the elements that make contracts enforceable and the implications of breach of contract.
• Practical Application: Apply theoretical knowledge to practical situations, learning how to adjust legal terms according to the business context and objectives.

Drafting of Each Agreement Type

• Client Service Agreement: Students draft an agreement that includes scope of services, payment terms, confidentiality clauses, and mechanisms for dispute resolution.
• Subcontractor Agreement: Draft terms for hiring subcontractors, including detailed scope of work, payment schedules, rights to terminate, and responsibilities of each party.
• Non-Disclosure Agreement (NDA): Create an NDA that protects confidential information, defining what is confidential, obligations of the parties, and duration of the agreement.
• Terms and Conditions: Write standard terms of service for use, focusing on intellectual property rights, warranty disclaimers, and limitations of liability.
